Objective and Purpose of the Assignment
The Asian Development Bank (ADB) partners with the Government of Azerbaijan (GOA) to rehabilitate and/or
develop water supply and sanitation infrastructure with private sector participation (the Project). The
Office of Markets Development and Public-Private Partnership of the ADB works for the GOA in the Project
preparation and tendering for its procurement through a public-private partnership (PPP) modality.
The Lead Technical Consultant will assist ADB in conducting technical due diligence and updating a
feasibility study and other documentation as per local legislative and/or process requirements, which
will be followed by tender support for the Project. The Lead Technical Consultant will work closely with
ADB and other consultants engaged by ADB for the Project.
Scope of Work
The scope of work includes, without limitation and subject to adjustments as per progress in the Project
(which is a specific asset/s and/or sub-project/s to be selected by ADB), technical due diligence and
updating a detailed feasibility study, in parallel with preparation of the tender process, including
technical documentation, KPI development, and support for bidder engagement.
Detailed Tasks and/or Expected Output
Project Preparation:
Referring to available information, documents and communication with the GOA institutions, the Lead
Technical Consultant will undertake technical due diligence and update a detailed feasibility study
report on the Project in line with national legislative and/or process requirements and relevant sector
strategies and plans (where applicable) in Azerbaijan. The tasks include, but not limited to:
(i) Updates to a detailed feasibility study report, with a focus on technical and crosscutting subjects,
which include among others:
(a) Assessment of the current wastewater treatment system/s
(b) Wastewater data collection and analysis (water quality testing and flow measurements)
(c) Assessment of technical feasibility of solution/s for sludge management
(d) Assessment of conditions and suitability of candidate site/s
(e) Project’s scope of coverage
(f) Project sizing
(g) Identification of critical technical and operational constraints to the Project’s scope of coverage
(h) Project costing
(i) Design of key performance indicators and quality standards to be defined under a PPP contract as per
international practices and local operating environment
(j) Suggested outline of O&M strategy
(k) Preliminary assumptions, along with suggested sensitivity scenarios, on technical and operational
parameters as key inputs to financial analysis.
(ii) Assistance in documentation preparation in line with national legislative and/or process
requirements and relevant sector strategies and plans (where applicable) as amended in Azerbaijan.
Tender Support:
The Lead Technical Consultant, in collaboration with other consultants engaged by ADB, will assist in
the preparation of the tender process for the Project. Tasks include, but not limited to:
(i) Procedural compliance documentation to assist in the preparation of necessary documents to assist
the GOA in meeting domestic PPP procedures and requirements as well as the consultation process with
stakeholders.
(ii) Preparation of tender documents, including pre-qualification (RFQ) document, bid (RFP) document,
evaluation criteria and templates, draft PPP contract and other project agreements.
(iii) Organizing and implementing a competitive tender process. Tasks include, among others:
(a) Assistance in drafting responses to technical queries raised by bidders, preparing necessary
addendums/corrigendum and other materials for bid conferences and communication.
(b) Assistance in pre-qualification evaluation.
Deliverables and Estimated Submission Date / Format
(i) Due diligence and Updates to a detailed FS Report — Oct-2026 in any format as required by ADB/GOA
(ii) Inputs to pre-qualification documents — Oct-2026 in any format as required by ADB/GOA
(iii) Inputs to draft tender documents — Nov-2026 in any format as required by ADB/GOA
(iv) Others as may be required by ADB — Nov-2026 in any format as required by ADB/GOA
(i) All deliverables shall be provided along with summary materials when required by ADB. All raw data
collected shall be provided in electronic format to ADB.
(ii) All deliverables shall be provided in English language.
(iii) Estimated Submission Date for each deliverable is subject to adjustments as per the progress in
project preparation and tendering process.
(iv) In case that extra time and process are required upon coordination and consensus building among
stakeholders, this assignment may be extended subject to variation order/s.
(v) It is expected that the Lead Technical Consultant will have flexible visits to Azerbaijan and
conference calls with ADB and/or the GOA institutions regularly (upon request by ADB as the situation
requires) for presentations and discussions throughout this assignment.
Minimum Qualification Requirements
The Lead Technical Consultant shall have at least a master’s degree in engineering, urban planning,
environmental management and/or related areas, and at least 15-year international experience in
technical advisory for PPP projects and water supply and sanitation (WSS) services preferably in ex-CIS
region or Central Asia.
Desired areas of the expert’s technical advisory experience include planning; design and engineering;
wastewater data collection and assessment; operations and maintenance; and PPP project development and
implementation of wastewater treatment systems. The expert shall have sound knowledge and experience in
advising on the field of wastewater treatment and sludge management technologies and operations,
environmental and social safeguard management, risk allocation between public and private parties,
economic and financial analysis for WSS infrastructure development on PPP basis, and have experience
with various PPP structures and contracts for delivering WSS services.
The expert shall have excellent oral and written communication skills in English. Interpersonal skills
for effective collaboration with experts in other areas of expertise are required.
