Objective and Purpose of the Assignment
![]() | Asia Development Bank (ADB) has supported Rajasthan’s urban sector for over two decades, financing four projects that improved water supply, sanitation, and infrastructure for more than 7 million people. The ongoing Rajasthan Secondary Towns Development Sector Project (Loans 3972-IND and 4325-IND) continues this momentum, expanding inclusive and climate-resilient water and sanitation services in secondary towns. Building on these achievements, the Government of Rajasthan (GoR) has submitted a request for the proposed Rajasthan Urban Livability Improvement Investment Program (RULIP) to the Department of Economic Affairs (DEA). The $1.85 billion RULIP—the fifth phase of ADB’s support—aims to close critical infrastructure gaps, enhance livability in larger cities, and align with Vikshit Rajasthan @ 2047. It will prioritize water supply, sanitation (including wastewater reuse), mobility, green spaces, and institutional strengthening. GoR intends to deploy the Hybrid Annuity Model (HAM) across multiple sectors and towns under the program. To de-risk adoption and calibrate design features, the Government will conduct a targeted market assessment—covering investor appetite, lender perspectives, contractor capacity, risk allocation, annuity tenor/escrow arrangements, KPI/payment mechanisms, and O&M requirements. This will include stakeholder interviews, a short survey, and an open market-sounding workshop. Findings will inform HAM packaging, contract conditions, and bid criteria, and will help sequence pilots (Tranche 1) before scaling in subsequent tranches. Local Self Government Department (LSGD) will be the Executing Agency (EA), while the Rajasthan Urban Drinking Water Sewerage & Infrastructure Corporation Limited (RUDSICO) will be the Implementing Agency (IA). The PPP Specialist will be engaged to enable GoR to credibly launch HAM/PPP by: a. Testing market appetite and calibrating risk, payment, and O&M design. b. Structuring bankable HAM contracts and term sheets with clear kpis and escrowed annuities; c. Aligning dprs, procurement, and readiness with ADB policy through close coordination across advisors; d. Running targeted market sounding and translating findings into a state PPP/HAM strategy, pilot sequencing, and procurement plan; and e. Strengthening PPP policy and institutional capacity, including establishing a Project Development Facility to deliver competitively bid, bankable pilots ![]() |
Scope of Work
![]() | The PPP Specialist will assess RULIP subprojects from a PPP perspective in coordination with the EA, IA, DPR consultants, and ADB. The assignment will include, but not be limited to: (i) Policy and Regulatory Framework o Review PPP landscape in Rajasthan including experience with PPP, PPP-related laws, policies, and institutional arrangements in Rajasthan. And recommend improvements to ensure consistency with fiscal management, procurement, and sector-specific laws. o Analyze gaps and opportunities in PPP landscape across select focus sectors like water, wastewater and urban mobility in the State. o Advise GOR on strengthening PPP policy, develop implementing guidelines and circulars to facilitate private participation. (ii) Institutional Development and Risk Management o Recommend institutional arrangements, including a PPP Unit (as custodian of standard contracts, guidelines, and screening tools) and a Risk Management Unit (RMU) (to assess government support and manage fiscal risks). o Define steps and timelines for operationalizing these units and build institutional capacity to develop, structure, and implement PPP projects.. (iii) PPP Project Development Facility (PDF) o Recommend structure, resourcing, and operating procedures for the PDF, provide guidance on legal/contractual requirements and government notifications to establish the facility. o Support the establishment of the PDF to prepare competitively bid, bankable PPP projects for implementation. (iv) Capacity Development and Awareness o Conduct workshops in Jaipur to strengthen understanding of the PPP lifecycle among key departments, line agencies, and prospective authorities. o Provide technical support to build awareness of HAM, KPI-linked payments, escrow/annuity mechanisms, and long-term O&M models. (v) Identification of PPP projects o Work with relevant departments in Rajasthan, with a target of identifying at least four projects in water supply, wastewater or urban mobility area that could be delivered on PPP based on size, criticality, interest from private sector, and client priority in discussions with ADB. o Prepare short profiles/notes as agreed by ADB for the identified projects with recommendations on future actions and provide an estimate of the expected capital cost of the project based on industry norms. (vi) PPP/HAM Contracting framework and Bid Documents o Prepare outline terms of PPP/HAM-based contracts (water supply and wastewater, Urban mobility and other key components) tailored to project-specific risk profiles and local operational conditions. o Develop templates and guidance notes for adaptation by state agencies and support in preparation of the bidding documents. o Support the preparation of draft bidding documents and draft contract templates for the initial projects, incorporating lessons learned to inform subsequent template refinement. ![]() |
Detailed Tasks and/or Expected Output
![]() | The Specialist will: • Work with the ADB program team, procurement experts, and other ADB-financed consultants to align with ADB policies and readiness requirements. • Coordinate with GoR-recruited DPR consultants to align technical designs, cost norms, phasing, and O&M requirements with HAM packaging. • Prepare and execute a market-sounding plan (targeted interviews, surveys, workshop) and synthesize findings into bankability/competition recommendations. • Draft a recommendation note for LSGD/State on PPP/HAM market strategy, pilot sequencing, procurement approach, and next steps. • Review existing PPP frameworks, concession laws, and related regulatory instruments; recommend procedural reforms to strengthen PPP readiness. • Review cross-cutting laws (procurement, land, environmental/social safeguards) to identify constraints and align with good practice. • In coordination with procurement experts prepare model PPP/HAM contract templates/term sheets for water supply and wastewater, including KPI/payment and risk-sharing logic. • Provide stepwise guidance to establish/strengthen a PPP Unit (standards, templates, screening tools) and a Risk Management Unit (fiscal risk/government support assessment) within GoR. • Identify requirements to establish the PDF and draft the legal/contractual arrangements and operating procedures for its operationalization; propose an initial pipeline of bankable pilots. • Deliver and document workshops (Jaipur-based) to build awareness of the PPP lifecycle and HAM-based long-term O&M among key ministries, line agencies, and prospective authorities. ![]() |
Minimum Qualification Requirements
![]() | Education: Master’s degree in a relevant field (economics, finance, law, public policy, or engineering), with a bachelor’s degree in engineering preferred. Experience: o At least 15 years of general experience, including 10 years of specific experience in PPP project development. o Proven expertise in conceptualizing and structuring water supply and wastewater PPPs, including planning, feasibility studies, and HAM-based contracting. o Demonstrated experience in India and/or South Asia, preferably with state-level governments. o Track record of designing and delivering capacity building programs. Skills: Strong analytical, problem-solving, and communication skills; ability to work in multicultural, multidisciplinary teams. |
