Objective and Purpose of the Assignment
I. Background and Objective of the Assignment
The Office of Markets Development and Public-Private Partnership (OMDP) at the Asian Development Bank
(ADB) is supporting the Government of Kazakhstan’s (GOK) energy sector particularly (a) its hydropower
development program where there has been no or low bidder interest due to lack of well-developed
technical studies and bankable transaction documents, and (b) hybrid storage system development with
energy storage which would allow a better load smoothening and consequently less stress on the grid.
ADB and the country’s Ministry of Energy (MOE) entered a Transaction Advisory Service Agreement (TAS
Agreement) on 25 July 2024 under which ADB, through OMDP, will be providing Transaction Advisory
Services (TAS) to the Government and will lead project definition and project preparation activities as
well as provide tender assistance to help MOE define the scope of the Project, determine key aspects of
the Project, and tender the Project under the PPP modality. OMDP also wishes to augment its team with a
local specialist with expertise in dealing with local akimats and other governmental authorities in the
renewables sector to ensure the projects progress swiftly assuring timely communication with MOE and
required land availability.
Scope of Work
II. Scope of Work
OMDP (Client) wishes to engage a National Project Coordinator (Consultant) who will support the Client
in carrying out project definition and project preparation activities in support of GOK’s hydropower
development program. The main objective of the Consultant is to act as a focal person on behalf of the
Client for implementation of the hydro program and support in expediting the project definition and
preparation activities. The Consultant shall report to OMDP and coordinate closely with ADB’s Kazakhstan
Resident Mission (KARM) and ADB’s Central and West Asia Department (CWRD) focal points as necessary.
Detailed Tasks and/or Expected Output
III. Detailed Tasks and/or Expected Output
The Consultant will be assisting the Client for all the hydropower projects (Projects) and GOK’s
hydropower development program. The Consultant’s tasks will include, but not be limited to, working with
the Client, the MOE, the GOK, the Financial Settlement Center, local akimats and relevant authorities on
land, water, forestry, and safeguards, and other ADB consultants to:
(i) Support the Client in implementing the actions and obligations agreed by each party under the TAS
Agreement between MOE and ADB for the Hydropower Development Program.
(ii) Work with the Client and its legal advisors to reach an agreement with MOE and/or other
governmental authorities in relation to the introduction or revision of legislative amendments required
for the implementation of the Hydropower Development Program, including Auction Rules, PPA template,
land related regulations and others as necessary.
(iii) Support the Client in all on the ground activities in Kazakhstan throughout the project
definition, preparation and tendering stages until commercial close.
(iv) Manage senior project stakeholders located in Kazakhstan.
(v) Monitor stakeholders and the situation on the ground and advise on developments on political or
regulatory level and their potential impact.
(vi) Reach out to local akimats and work closely with respective land authorities and legal advisor to
recommend a viable solution for the acquisition of the land required for the Projects. The Consultant
will need to support the MOE and akimats in land acquisition and all matters related to the Project
sites for the entire Program.
(vii) Participate in meetings with the Client and ADB’s technical team to identify the list of the land
plots and in discussions of titles and encumbrances over such land plots/rights thereto. The Consultant
is expected to travel to the site and inspect the land plots in question, if needed.
(viii) Support the Client and its consultants in obtaining relevant information from relevant government
authorities and in addressing their queries during the implementation of the Program and provision of
services under the TAS mandate.
(ix) Support the Client in obtaining necessary approvals or permits during the implementation of the
Program.
(x) Provide a local point of contact for the government, including assistance in the management of
documents and their translations.
(xi) Serve as a liaison and address questions of MOE/GOK/local akimats or any other relevant authority
in relation to land matters, water, irrigation, forestry, safeguards and other local concerns.
(xii) Support the Client during the tender process and with market sounding activities, if needed.
(xiii) Support the Client in all other matters including ad hoc matters as required related to the
Client’s TAS Agreement obligations.
(xiv) Support the Client in building the pipeline of potential project opportunities in energy sector,
especially renewables in close collaboration with the MOE.
The Consultant may be required to travel to Almaty, Project sites, and any other places (outside of
Astana), as needed.
IV. Deliverables:
(i) Summary Report on the Review of Land Plots List including various land reservation and land
acquisition issues and related matters
(ii) Report on the Review of Legislative Amendments Required for the Implementation of the Hydropower
Development Program including recommendations on proposed amendments to the Auction Rules and the PPA
template from a practical implementation point of view considering the local precedents
(iii) Summary Report on the Record of Support to the Client in correspondence with MOE and other
regulatory authorities for implementation of TAS Agreement for project definition and project
preparation activities. (*in the form of bi-monthly reports every two months)
Inputs to be delivered in English and/or Russian, as required by the Client or GOK.
Minimum Qualification Requirements
Bachelor’s degree in management, economics, or finance. Master’s degree will be an advantage. At least 7
years of relevant experience of working and dealing with various local governmental authorities and
local akimats in Kazakhstan and/or Central Asia for renewables energy and other energy sources for
electricity generation. Experience in renewables and PPP transactions in Kazakhstan will be a
requirement. Excellent written and verbal communication skills in English.
Minimum General Experience: 10 Years
Minimum Specific Experience (relevant to assignment): 7 Years
