Objective and Purpose of the Assignment
The Office of Markets Development and Public-Private Partnership (OMDP) of the Asian Development Bank
(ADB) is advising Pakistan’s Karachi Water and Sewerage Corporation (KWSC) to develop, operate and
maintain wastewater utilities and recycle wastewater to conserve water resources under two ongoing
Transaction Advisory Services (TAS) mandates (i.e., PAK: West Karachi Recycled Water Project 1 or WKRWP1
and TP4).
As part of the TAS of WKRWP1, OMDP will, among other things: i) conduct a technical, legal and
commercial review of an Unsolicited Proposal (USP) which has been submitted to KWSC, (ii) prepare a
report on the overall findings, (iii) conduct discussions with KWSC on the suitability of the USP, (iv)
conduct further legal and other required due diligence, (v) conduct market sounding, (vi) recommend
optimal commercial and financial structure for implementation of the Project under a PPP scheme, (vii)
prepare tender documents, (viii) support KWSC in running a competitive tender process in line with Sindh
Public Procurement Rules (as amended from time to time), bid evaluation and selection of a preferred
bidder, and (ix) provide necessary support for negotiations leading to signing of the concession
agreement with the winning bidder for the Project and the financial agreements.
As part of the TAS of TP4, OMDP will, among other things: i) conduct a pre-feasibility study for a new
large municipal wastewater treatment plant, ii) prepare a report on the overall findings, iii) conduct
discussions with KWSC on the options for treatment and wastewater recycling, iv) conduct further legal
and other required due diligence, v) recommend optimal commercial and financial structure for
implementation of the Project under a PPP scheme, vi) prepare tender documents, vii) support KWSC in
running a competitive tender process in line with Sindh Public Procurement Rules (as amended from time
to time) and in negotiations leading to signing of the concession agreement with the winning bidder for
the Project and the financial agreements.
Scope of Work
The Water Supply and Sanitation Advisor (the “Advisor”) will act as a technical advisor to OMDP and
primarily assist ADB’s TAS team on the two ongoing mandates (WKRWP1 and TP4).
Detailed Tasks and/or Expected Output
The Advisor will engage in the following activities:
- Provide technical support to ongoing ADB mandates in Pakistan, namely WKRWP1 and TP4 projects;
- Work with the WKRWP1 and TP4 projects’ teams to develop timeline and milestones for each project till
Commercial Close; - Provide technical support to ADB on the overall WKRWP1 and TP4 project scopes including its linkages
with the city’s master development plan and review of all technical solutions proposed for water
treatment as well as reverse osmosis; - Provide technical support for cadastral survey of WKRWP1 plant area and access corridor in TP1 site
and pipeline routes for influent, effluent and Reverse Osmosis (RO) concentrate outside of TP1 site; - Coordinate with safeguard consultant for preparation of Initial Environmental Examination report to
ensure that it reflects the scope of work in the RFP; - Coordinate with Sindh Environmental Protection Agency to develop a viable and cost-effective solution
for disposal of RO concentrate with environmental compliance; - Manage the sampling and laboratory analysis of water flowing in the nullahs (rivers) that will feed
the interceptor conveying raw wastewater influent to WKRWP1 and refine the optimum design specification
for the desalination component of recycling; - Develop WKRWP1 project facilities and specifications to include additional pipelines for disposal of
treated effluent and RO concentrate; - Following finalization of the facilities to be included in WKRWP1, update the scope of works and the
estimated Capex and Opex for the concession period with relevant data to facilitate input by other
specialists in a financial model; - Support ADB with market sounding and lead the technical discussions;
- Coordinate with other specialists (technical, commercial and legal) and provide inputs for milestone
deliverables of Projection Definition and Project Preparation outputs under WPRWP1 and TP4 TAS mandates; - Work with the legal consultants on preparation of the concession agreement including the relevant
technical appendices; - Support ADB as transaction advisor to KWSC during the tender process on all technical related
matters, including preparation of tender documents (RFQ and RFP) and concession agreement, as well as
providing technical advice–including evaluation–during bidding and negotiation; and - Support ADB as transaction advisor to KWSC, on all other ad hoc matters as required.
Minimum Qualification Requirements
The Advisor will have at least a Bachelor’s degree in Engineering. The Advisor must have extensive
experience as water utilities and wastewater engineer for the design and operations of wastewater
treatment plants developed under a PPP scheme for engineering companies, sponsors, developers, and/or
technical consultants. Experience would preferably include one or more projects in Pakistan and
involving development of new wastewater treatment plant and water recycling plant. Holders of Chartered
Engineer and/or Chartered Water and Environmental Manager, or current valid membership of an equivalent
national or international engineering institution are preferred. The Advisor must have excellent oral
and written communication skills in English.

Minimum Specific Experience (relevant to assignment): 10 Years
