IFC’s Public-Private Partnership Transactions Advisory department (CTA) provides sell-side financial advisory services to client governments with the purpose to increase access to basic infrastructure and social services by facilitating private investments in these sectors. Specifically, the team acts as Lead Transaction Advisor to governments to structure and implement public-private partnerships (PPP) transactions across all infrastructure sectors, e.g. power, water, transportation, and telecommunications, as well as social sectors such as health and education, with a particular focus on energy and transport.
 
CTA has supported the Government of Jordan’s (GoJ) in developing a Project Preparation Development Facility (PPDF) to build capacity within the newly established Central PPP Unit in the Prime Ministry and to develop bankable pipeline of PPP projects. Capitalizing on the country strong track record of successful PPPs, GoJ has progressed in the PPP institutional arrangements and with the introduction of Jordan’s new PPP law in 2020, Jordan has reached a key milestone in providing a strong legal framework for private sector investments and enable future PPP projects in the kingdom.
 
Under the CTA’s mandate with the GoJ, CTA will support the GoJ by hiring highly qualified professionals who will be embedded within the Central PPP Unit of the GoJ, for a period of 1 year, extendable to another year subject to mutually agreed terms, to support the Unit’s daily operations as outlined in the roles and responsibilities subsection.
 
Roles and Responsibilities
 
Among the positions that have been identified as key, CTA is looking to recruit a Water Sector Specialist, who will work closely with the PPP Unit’s staff, assisting in the identification, assessment, preparation, and implementation of PPP projects in the water sector.
 
The Water Sector Specialist’s scope of work will include, but will not be limited to, supporting the PPP Unit in its responsibilities as follows:
  • Sector Diagnostics & Projects Identification
  • Support in assessing the various risks associated with water sector’s PPPs, including regulatory risks, technical risks, commercial risks and financial risks;
  • Assist in carrying out assessments of potential PPP projects in the water sector through the review of existing studies, demand and population projections;
  • Assist in analyzing the technical, legal, financial, economic and regulatory aspects of the water sector that could impact potential PPP projects;
  • Assist the PPP Unit in developing a strategy to implement water PPPs, including for project identification, screening, prioritization and selection, and coordinating efforts with other stakeholders;
  • Advise on existing standards or requirements established for the provision of water supply and sanitation services on PPP basis; and
  • Assist in the review of water sector’s PPP project leads and opportunities, unless that project lead or that source involves IFC.
  • Projects Preparation
  • Assist in the conduct of initial assessment of potential PPP projects in the water sector from a technical perspective;
  • Assist in the preparation of Concept Notes for water sector’s PPP projects, in coordination the relevant government entities;
  • Assist in the early identification and mitigation of environmental and social risks related to potential water PPP projects, in line with IFC’s Performance Standards; and
  • Advise the PPP Unit, relevant line ministries and other government entities on the technical feasibility of water sector PPP projects and pre-feasibility studies required in order to demonstrate project viability, except if IFC is the lead transaction advisor, strategic advisor or is otherwise involved in the PPP projects.
  • Projects Implementation
  • Assist the PPP Unit and relevant line ministries in the preparation of the technical elements of ToRs for the recruitment of transaction advisors for water sector projects, except if IFC is the lead transaction advisor, strategic advisor or is otherwise involved in the PPP projects;
  • Assist the PPP Unit in providing lead transaction advisors with data required to carry out their scope of work, except that if IFC is the lead transaction advisor, strategic advisor or is otherwise involved in the lead transaction advisor’s work or the PPP project, then the Water Sector Specialist will not participate in this activity;
  • Assist in reviewing proposed capital investment and cost estimates of water PPP projects, traffic data and projections, potential users’ willingness to pay and any other technical aspects of the feasibility study deliverables;
  • Assist in the review of the transaction structure for water sector PPP projects from a technical perspective, except if IFC is the lead transaction advisor, strategic advisor or is otherwise involved in the PPP projects;
  • Assist in the technical review of unsolicited proposals for PPP projects in the water sector to determine their eligibility under the PPP Law and support GoJ decision-making on next steps;
  • Assist in reviewing technical bids and submissions from bidders as part of the tendering process for water PPP projects; and
  • Assist with the review of technical costing inputs for financial models for water sector PPP projects, including prepared by bidders in proposals submitted as part of the bidding process, to help the PPP Unit ensure that the projects are affordable, financially sound and sustainable with appropriate risk allocation; unless such models are developed by IFC or IFC is involved in the PPP project.
  • Other
  • Provide training and capacity building, as required, to PPP Unit staff, and other GoJ officials, as required on any aspect of the identification, preparation, tendering, and implementation of PPP projects in the water sector;
  • Collate a library of relevant information and research on PPP projects in the water sector globally; and
  • Perform such other tasks as may be assigned by the PPP Unit Director in consultation with the IFC.
It should be noted that for any activity related to a Project’s implementation, if IFC is the proposed lead transaction advisor, strategic advisor or is otherwise involved in the proposed lead transaction advisor’s work or in the PPP project, then the Water Sector Specialist will not participate in this activity.

Selection Criteria

The eligibility criteria for the Water Sector Specialist include, but are not limited to:
  • Must have at least 10-15 years of relevant experience in water supply/distribution, wastewater, sanitation and/or other water sub-sectors;
  • A post graduate qualification in civil engineering or other relevant discipline;
  • Experience in the development and implementation of PPP projects in the water sector from a public or private sector financing perspective;
  • Familiarity with water sector in the MENA region would be a plus;
  • Previous working experience in Jordan will be considered an advantage;
  • Must be able to work independently as well as part of a team;
  • Must have excellent communication and interpersonal skills;
  • Must be able to work under demanding schedules;
  • Must be able to analyze and solve complex problems;
  • Proven experience coaching and mentoring staff at all levels;
  • Good English speaking and writing skills, especially in report writing as well as in summarizing of English reports;
  • Arabic speaking & writing skills are preferable; and
  • Strong negotiation skills, and the ability to identify the main technical issues to ensure they are resolved effectively.
Special Conditions
 
Although embedded in the PPP Unit, the Water Sector Specialist will not have authority to represent or bind the PPP Unit nor the GoJ in any matter, including but not limited to negotiating, entering into, supervising, or making any other decision under any law, regulation, agreement or contract on behalf of the PPP Unit or the GoJ.
 
For avoidance of doubt, and in view of the potential for real or perceived conflicts of interests that may arise from the fact that the Water Sector Specialist will be an IFC staff member embedded in the PPP Unit, the Water Sector Specialist may not engage in any activities beyond those stipulated in the Description Section above, including but not limited to, receiving any information at any time regarding, or participating in any of the following activities:
  • Deliberations or decisions regarding the appointment of IFC as advisor (including lead transaction advisor or strategic advisor) by the PPP Unit or GoJ;
  • Deliberations or decisions regarding the review, approval or sign off on IFC deliverables under any contract between IFC and the GoJ or the PPP Unit;
  • Deliberations or decisions regarding the terms, the management, the performance of IFC as a lead transaction advisor or strategic advisor for PPP projects in Jordan;
  • Deliberations or decisions for the PPP Unit to consult with IFC Investment on any matter, and consultations between IFC Investment and the PPP Unit on any matter;
  • Any other matter as determined from time to time by IFC in its absolute discretion
